Corporate Legal Counsel (Transactional Focus)

CORE RESPONSIBILITIES:

Transactional

  • Draft, review, revise, and negotiate varied legal documents in numerous areas of commercial law and corporate transactions

General

  • Provide legal advice and counsel to executives, directors of departments, and other business clients, using discretion and exercising independent judgment in numerous areas of contract and commercial law, general corporate transactions, and adversarial matters;
  • Research and analyze various legal issues presented by clients and/or pertinent to business operations or matters and present results through the preparation of legal memoranda and/or interaction with clients;
  • Serve as liaison between Legal department and certain business clients by acting as primary contact for assigned business units and representing the department on various task forces and committees; and
  • Anticipate and identify potential legal issues and develop and recommend company policies and positions on same.

Administrative

  • Pursue continuing education on industry, evolving business operations, and company business strategies;
  • Assist in educating and informing business clients on role of Legal department and in legal procedure;
  • Assist in managing provision of legal services by outside counsel and other legal service providers as related to assigned business units and/or matters;
  • Ensure accurate billing by outside counsel on a project-specific basis;
  • Timely and accurately enter and update status of projects in matter management system and contracts in enterprise contract system;
  • Maintain accurate time log in matter management system for work performed on behalf of affiliates of Love’s Travel Stops & Country Stores, Inc., as required; and
  • Various other tasks as assigned.

 

EDUCATION, LICENSURE, EXPERIENCE, AND QUALIFICATIONS:

  • Education:
    • Bachelor’s Degree and Juris Doctorate Degree from an accredited law school
  • Licensure:
    • Licensed to practice law in Oklahoma and a member in good standing with the Oklahoma Bar (or willing to immediately pursue Oklahoma license and a member in good standing in the state(s) where licensed)
  • Experience:
    • Minimum of 3 years of experience practicing transactional law in regional or national law firm and/or as corporate counsel required
    • Experience in M&A transactions and/or reviewing, revising, and drafting IT Software Licensing and SaaS agreements, a plus
  • Qualifications:
    • Excellent judgment, discretion, and risk assessment skills;
    • Strong and effective contract and other drafting skills;
    • Exceptional communication skills and the ability to establish and maintain effective professional relationships;
    • Practical business acumen, driving pragmatic business-oriented solutions; and
    • Superb organizational skills and the ability to manage and prioritize multiple projects at once.

 

      SKILLS AND PHYSICAL DEMANDS:

  • Skills: Proficient in Microsoft Office and in on-line legal research, with ability to learn new software applications and programs, ability to type efficiently and prepare own documents and correspondence without reliance on dictation, and strong drafting, negotiation, and oral communication
  • Typical Physical Demands:
    • Requires prolonged stationary positions
    • Occasional moving of equipment and/or lifting up to 50 pounds
    • Continuous operation of office equipment, e.g. computer keyboard, copy machine, printer, and calculator
    • Ability to perceive sound at normal speaking levels with or without correction and visual acuity to perform activities such as preparing and analyzing data and figures, transcribing, viewing a computer terminal, and extensive reading
    • Occasional evening or weekend work
    • Possible infrequent overnight travel
